Terms of Use
The agreement between you and Subtools. It is short because the service is simple: you buy points, and each point processes one subtitle file.

1. Who this agreement is with
Subtools is operated by [LEGAL ENTITY NAME] (registration [REGISTRATION NUMBER]), registered at [REGISTERED ADDRESS]. In these terms "we" and "Subtools" mean that company, and "you" means the person using the service.
Using Subtools means you accept these terms, the Acceptable Use & Copyright Policy, the Refund Policy and the Privacy Policy. If you do not accept them, do not use the service.
2. What the service does
Subtools processes subtitle files: converting between formats, shifting and rescaling timing, cleaning, merging, bulk editing, validating, and translating. You upload a file, we run the tool you chose, and you download the result.
Translation is different from the rest in one way: it needs a translation provider, and you bring your own. You connect an account with DeepL, Google Cloud Translation, Azure Translator or an OpenAI-compatible endpoint using your own API key, and when you run a translation the cue text is sent from our servers to that provider. What they do with it is governed by their terms, not ours — which is why you choose them and hold the account.
3. Your account
You need an account to process files. Keep your password to yourself — you are responsible for what happens under your account. Tell us if you think someone else has access to it.
Give us an email address that reaches you. We use it for verification codes, password resets, and anything we have to tell you about your account or a payment.
You can stop using Subtools whenever you like and ask us to delete your account. We may suspend or close an account that breaches the Acceptable Use Policy; if we do, any unspent purchased points are refunded.
4. Points, and what they are not
Everything the service does is priced in points. One point processes one file once, whichever tool you use. A point is spent when the job is created, not when it finishes.
- Free points are granted each day at 00:00 UTC. They do not accumulate — an unused day is gone.
- Purchased points never expire, and are used only after the day's free points are gone.
Points are a prepaid balance for using this service. They are not money, not a currency, not transferable between accounts, and cannot be cashed out. They can be refunded, under the Refund Policy.
We may change the price of a pack or the size of the free daily grant at any time. A change never affects points you have already bought.
5. Paying
Point packs are a one-time charge. There is no subscription and nothing renews automatically. Prices are shown in US dollars and exclude any tax that may be added at checkout.
Payment is taken by a payment provider on their own pages. Points are added to your balance only once that provider confirms the payment to us, which is usually immediate but is not something we control. If a payment is later reversed or charged back, the points from it are removed.
6. Your files stay yours
You keep all rights in the files you upload and in the results we produce. We claim nothing, and we do not use your subtitle content to train anything. We process your files only to give you the result you asked for. How long we keep them, and how to have them deleted sooner, is in the Privacy Policy.
You must have the right to the files you upload. That is covered in the Acceptable Use & Copyright Policy.
7. What we promise, and what we do not
We will run the tools as they are described on this site. If a job fails because of a fault on our side, tell us and we will return the point and put it right where we can.
We do not promise that the service will be available without interruption, that a result will suit a particular purpose, or that processing will never produce an unexpected output. Subtitle files vary enormously and some are malformed in ways no tool can resolve. Keep your own copy of anything that matters — Subtools is a processing tool, not a backup service, and files are deleted on the schedule set out in the Privacy Policy.
Except where the law does not allow it to be limited, our total liability to you is limited to what you have paid us in the twelve months before the claim. We are not liable for lost profits, lost data you did not keep a copy of, or indirect losses.
None of this affects rights you have as a consumer under the law that applies to you.
8. Changes to these terms
We may update these terms. If a change materially affects you, we will say so on this page and update the date at the top before it takes effect. Continuing to use the service after that means you accept the change; if you do not, stop using it and ask for a refund of unspent points.
9. Governing law
These terms are governed by the law of [GOVERNING JURISDICTION], and its courts have jurisdiction over any dispute. If you are a consumer, this does not deprive you of the protection of the mandatory law of the country where you live, or of your right to bring proceedings there.
